My Florida Link is an online directory platform that connects consumers with licensed insurance professionals operating in the State of Florida. The Company provides a platform through which insurance agents, brokers, and agencies (“Listing Agents”) may create, claim, or manage directory profiles, and through which consumers may search for and contact insurance professionals.

The Company is not an insurance agency, brokerage, or carrier. We do not sell, solicit, negotiate, or underwrite insurance products of any kind. We are solely a directory and technology platform.

To claim or create a listing on the Site, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

By registering, you represent and warrant that: (a) you are at least 18 years of age; (b) you hold all required licenses, appointments, and authorizations required by applicable law to conduct the insurance-related activities described in your profile; and (c) all information you provide is true, accurate, and not misleading.

You are solely responsible for all content you submit, post, publish, or otherwise make available through your profile or any other portion of the Site, including but not limited to biographical information, credentials, license numbers, specialties, reviews, testimonials, contact information, and any other materials (collectively, “User Content”).

By using the Site, you agree that you will not post, submit, or otherwise make available any User Content that:

• Is false, inaccurate, misleading, deceptive, or fraudulent in any way
• Misrepresents your identity, credentials, license status, or professional qualifications
• Infringes upon any third party’s intellectual property, privacy, or other rights
• Is defamatory, libelous, harassing, abusive, threatening, or constitutes hate speech
• Discriminates against or demeans any person or group based on race, color, religion, sex, national origin, age, disability, sexual orientation, or any other protected characteristic
• Violates any applicable federal, state, or local law, rule, or regulation, including insurance regulations
• Contains unsolicited promotional material, spam, or unauthorized advertising
• Contains malicious code, viruses, or any software intended to damage or disrupt the Site
• Impersonates any person or entity, including another insurance professional or Company employee
• Is otherwise objectionable as determined in our sole and absolute discretion

My Florida Link reserves the sole, exclusive, and absolute right — but not the obligation — to review, monitor, edit, modify, refuse to publish, remove, or permanently delete any User Content or listing at any time, for any reason or no reason, without prior notice to you, including but not limited to content that we, in our sole discretion, determine:

• Is false, inaccurate, misleading, or unverifiable
• Is hateful, discriminatory, offensive, or harassing
• Violates these Terms or any applicable law or regulation
• Reflects poorly on the Site, our users, or the public
• Has been the subject of a consumer or regulatory complaint
• Involves a lapsed, suspended, or revoked insurance license
• Is otherwise not in the best interest of the Site or its users, as determined by us

The exercise or non-exercise of this right does not constitute an endorsement of, or liability for, any User Content that remains on the Site. We are not obligated to screen or monitor User Content and shall have no liability for failing to do so.

My Florida Link is a platform and directory service only. We do not create, author, verify, endorse, or guarantee the accuracy of any User Content posted by Listing Agents or other users. All profile content, claims, credentials, reviews, and representations originate solely from the individual or entity who submitted, claimed, or manages that profile.

We expressly disclaim all responsibility and liability for any User Content posted, submitted, or otherwise made available on the Site by any third party. The Company shall not be held responsible for any damages, losses, or harm arising from your reliance on any User Content published on this Site.

• Any misrepresentation of your identity, credentials, license status, or professional qualifications

• Any violation of any applicable law, regulation, or third-party right by you
• Any claim by a consumer, client, regulatory body, or other third party arising from your professional conduct or services
• Any dispute between you and any other user of the Site

This indemnification obligation will survive the termination of your account and your use of the Site. The Company reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate fully with such defense.

THE SITE AND ALL CONTENT, SERVICES, AND MATERIALS AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MY FLORIDA LINK EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Site will be uninterrupted, error-free, or secure; (b) any information on the Site is accurate, complete, current, or reliable; (c) any defects will be corrected; or (d) the Site or any server that makes it available is free of viruses or harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MY FLORIDA LINK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall our total liability to you for all claims arising out of or related to these Terms or your use of the Site exceed the total amount paid by you to the Company in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred dollars ($100.00), whichever is greater.

My Florida Link reserves the sole, exclusive, and absolute right, at any time and for any reason, to:

• Modify, suspend, or permanently discontinue the Site or any portion thereof
• Change or eliminate any features, pricing, or functionality of the Site
• Terminate or suspend any user account, listing, or access to the Site
• Shut down the directory entirely, temporarily or permanently

IN THE EVENT THAT THE COMPANY ELECTS TO SUSPEND, DISCONTINUE, OR PERMANENTLY SHUT DOWN THE SITE OR ANY OF ITS SERVICES, ALL FEES AND PAYMENTS PREVIOUSLY COLLECTED ARE NON-REFUNDABLE. YOU ACKNOWLEDGE AND AGREE THAT THE COMPANY SHALL HAVE NO OBLIGATION TO PROVIDE ANY REFUND, CREDIT, OR OTHER COMPENSATION TO YOU IN CONNECTION WITH ANY SUCH DISCONTINUATION, REGARDLESS OF THE REASON THEREFOR.

The Company is not required to provide advance notice before modifying, suspending, or discontinuing the Site or any user account. While we may endeavor to provide reasonable notice when practicable, we make no guarantee of doing so.

Upon termination or suspension of your account, your right to access or use the Site immediately ceases. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Certain features of the Site, including premium listing tiers, require payment of fees. All fees are stated in U.S. dollars and are exclusive of any applicable taxes. You are responsible for paying all applicable taxes.

All subscription fees are billed in advance on a recurring basis. By providing payment information, you authorize us to charge the applicable fees to your payment method. Fees may be modified at any time upon notice to you. Continued use of paid features following a fee change constitutes your acceptance of the new fees.

Except as expressly stated in a written promotion or free trial offer, all fees paid are non-refundable.

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by the Company. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We encourage you to review the terms and privacy policies of any third-party sites you visit.

All content, design, graphics, compilation, code, and other materials on the Site that are not User Content are owned by or licensed to My Florida Link and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any portion of the Site without our prior written consent.

By submitting User Content to the Site, you grant the Company a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, display, and distribute such User Content in connection with operating and promoting the Site.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Marion County, Florida, and you hereby consent to the personal jurisdiction of such courts.

YOU AND THE COMPANY EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION, PROCEEDING, OR CLAIM ARISING OUT OF OR RELATED TO THESE TERMS.

Listing Agents are solely responsible for ensuring that their profiles, communications, and any activities conducted through the Site comply with all applicable federal, state, and local laws and regulations, including but not limited to the Florida Insurance Code, Florida Department of Financial Services regulations, and all applicable licensing requirements. The Company does not represent that use of the Site will result in compliance with any applicable law or regulation.

Nothing on the Site constitutes legal, financial, tax, or insurance advice. Content provided on the Site, including agent profiles and descriptions, is for informational purposes only. You should consult a qualified licensed professional before making any insurance or financial decisions.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company with respect to your use of the Site and supersede all prior agreements, representations, and understandings.
